dave It's tough to feel sorry for Delaware, which has long been at the forefront of licking corporate arse. They just got out-brown-nosed.
This is probably true, though as I understand it part of Delaware's attraction (aside from low taxes and friendly laws) is that their courts have (naturally) developed great expertise in Business law. It was a circular reinforcement.
Companies can get clear-cut, well-reasoned, and relatively quick decisions in court cases (in contrast to courts in other states that are slow as molasses---or in Texas it would be barbecue sauce).
Unfortunately some Delaware officials have been scared by the Billionaires. and want to change Delaware law. This might be attractive in the short run, but undermine Delaware's legal reputation in the long run.

By the way, Delaware with its 3 counties originally was part of Pennsylvania Colony, informally called the "three lower counties".
Eventually PA and DE split, but one reason why Delaware was in a hurry to be the "first state" to ratify the US Constitution was they wanted to emphasize in aggressive terms that they were now a separate state from Pennsylvania and also had to fend off claims from Maryland.
